1. Acceptance of These Terms

These Terms & Conditions govern your access to and use of MRNMarket.com and any related websites, applications, dashboards, tools, services, features, content, communications, payment integrations, and marketplace functions operated, controlled, supported, or made available by MRN Global Market LLC, doing business as MRNMarket.

By accessing, browsing, registering for, buying through, selling through, promoting, delivering through, providing services through, or otherwise using the Platform, you agree to these Terms and all applicable MRNMarket policies.

If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all Users, including Buyers, Sellers, Affiliates, Delivery Partners, Service Providers, visitors, and business partners.

2. Definitions

Capitalized terms used in these Terms have the meanings given in the MRNMarket Definitions Policy, unless these Terms define them differently.

For purposes of these Terms:

“MRNMarket,” “Company,” “we,” “us,” or “our” means MRN Global Market LLC, doing business as MRNMarket.
“Platform” means MRNMarket.com and related services, tools, systems, dashboards, software, and features operated, supported, or made available by MRNMarket.
“User,” “you,” or “your” means any person or entity that accesses or uses the Platform.
“Buyer” means a User who purchases or attempts to purchase Products or Services through the Platform.
“Seller” means a User who lists, offers, sells, supplies, fulfills, ships, or provides Products or Services through the Platform.
“Affiliate” means a User approved or permitted to promote MRNMarket or related offers for potential compensation.
“Transaction” means any purchase, sale, payment, refund, return, payout, settlement, chargeback, commission, delivery, or related marketplace activity conducted through or connected to the Platform.

3. Marketplace Role of MRNMarket

MRNMarket operates primarily as a marketplace technology platform.

Unless a Product or Service is expressly identified as sold by MRNMarket Official Store or another official MRNMarket-operated account, MRNMarket is not:

the Seller;
the Buyer;
the manufacturer;
the supplier;
the warehouse operator;
the carrier;
the delivery company;
the importer of record;
the exporter of record;
the customs broker;
the Merchant of Record;
an escrow provider;
a bank;
a money transmitter;
a financial institution;
a payment processor;
a tax adviser;
a legal adviser; or
a party to the underlying sale contract between Buyer and Seller.

Independent Sellers are responsible for their Products, Services, Listings, pricing, descriptions, fulfillment, delivery obligations, warranties, taxes, legal compliance, and customer obligations.

MRNMarket may provide marketplace infrastructure, payment integrations, account tools, listing tools, communication tools, dispute support, compliance tools, verification tools, and administrative support. Providing these tools does not make MRNMarket responsible for Seller Products, Buyer conduct, delivery performance, customs clearance, seller warranties, product compliance, tax obligations, user-to-user transaction outcomes, Payment Processor outcomes, carrier performance, bank decisions, card network decisions, digital wallet decisions, or other third-party actions, except where required by applicable law.

4. Eligibility

To use the Platform, you must:

be at least the age of majority in your jurisdiction;
have legal capacity to enter into binding agreements;
provide accurate and current information;
comply with these Terms and all applicable policies;
comply with all applicable laws; and
not be prohibited from using the Platform under sanctions, export control, anti-terrorism, anti-money laundering, or other applicable laws.

If you use the Platform on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

MRNMarket may refuse, limit, suspend, or terminate access to the Platform at any time where permitted by law and MRNMarket policies.

5. Accounts

Some Platform features may require an Account.

You are responsible for:

providing accurate registration information;
maintaining current account information;
safeguarding login credentials;
all activity occurring under your Account;
promptly notifying MRNMarket of unauthorized access or security concerns; and
complying with verification, tax, payment, and compliance requests.

You must not:

create false, misleading, duplicate, or unauthorized Accounts;
impersonate another person or entity;
use another User’s Account without permission;
transfer or sell your Account without MRNMarket’s written consent;
bypass Account restrictions or enforcement measures; or
use the Platform for unlawful, deceptive, harmful, or prohibited activity.

MRNMarket may restrict, suspend, or terminate Accounts in accordance with these Terms, applicable policies, and applicable law.

6. Verification, KYC, KYB, AML, and Sanctions Review

MRNMarket may require Users to complete identity, business, tax, payment, location, ownership, compliance, risk, or document review.

Verification may be conducted by MRNMarket or third-party providers.

You agree to provide accurate, complete, and current information and to promptly update information if it changes.

MRNMarket may delay, deny, restrict, suspend, or terminate access, Transactions, Listings, payments, payouts, refunds, or participation if:

verification is incomplete;
information is inaccurate, expired, misleading, or suspicious;
required documents are not provided;
fraud, risk, sanctions, AML, or compliance concerns arise;
payment processor rules require action; or
applicable law requires or permits action.

Verification does not guarantee user performance, product quality, delivery success, transaction outcome, legal compliance, or absence of fraud.

7. Platform Availability and Changes

MRNMarket may update, modify, limit, suspend, discontinue, test, or expand the Platform, including features, categories, payment options, seller tools, buyer tools, affiliate tools, delivery tools, geographic availability, account access, and support systems.

Platform features may vary by:

user type;
location;
product or service category;
legal requirements;
Payment Processor rules;
risk review;
operational readiness;
pilot stage; and
business needs.

MRNMarket does not guarantee that the Platform will always be available, uninterrupted, secure, error-free, or compatible with every device, system, browser, or location.

8. Phase-1 Pilot and Limited Availability

MRNMarket may operate certain services through a controlled pilot, beta, test, or limited-access stage.

During such stage, MRNMarket may limit or restrict:

user registration;
seller approval;
buyer participation;
product categories;
transaction values;
payment review and release procedures;
delivery methods;
geographic availability;
affiliate participation;
automation features;
support options; and
dispute review processes.

Participation in any pilot, beta, test, or limited-access program is not guaranteed. MRNMarket may approve, reject, limit, suspend, or terminate participation in accordance with its policies and applicable law.

Any pilot, beta, test, future feature, roadmap, expansion plan, or launch statement is provided for informational purposes only and does not create a binding commitment, warranty, guarantee, or obligation to release or continue any feature or service.

9. Buyer Terms

Buyers are responsible for:

reviewing Listings before purchasing;
checking product descriptions, prices, delivery terms, return conditions, seller information, and applicable policies;
providing accurate delivery, contact, payment, and account information;
paying all applicable amounts;
complying with customs, import, tax, and legal requirements where applicable;
communicating honestly through approved Platform channels;
cooperating with delivery confirmation, return, refund, dispute, and verification processes; and
avoiding fraud, abuse, chargeback misuse, false claims, and policy circumvention.

MRNMarket does not guarantee that any Product or Service will meet a Buyer’s expectations unless required by applicable law or expressly stated in a specific MRNMarket policy.

10. Seller Terms

Sellers are responsible for:

accurate and lawful Listings;
Product and Service quality;
pricing, availability, and descriptions;
fulfillment, shipping, and delivery obligations;
warranties and customer obligations;
refunds, returns, and exchanges where required;
taxes, duties, import/export obligations, customs compliance, and product compliance;
licenses, permits, safety approvals, age restrictions, labeling, documentation, and regulatory requirements;
responding to Buyers and MRNMarket requests;
complying with seller performance standards; and
complying with all applicable policies and laws.

Sellers must not list or sell Products or Services that are illegal, unsafe, counterfeit, infringing, deceptive, sanctioned, restricted without authorization, or otherwise prohibited.

MRNMarket may remove Listings, restrict seller activity, delay payouts, require documentation, impose limits, suspend Accounts, or take other enforcement actions where permitted by law and policy.

11. Listings

Listings must be accurate, complete, lawful, and not misleading.

A Listing must not:

contain false or deceptive information;
infringe intellectual property rights;
include prohibited or restricted products without authorization;
misrepresent price, availability, delivery, warranty, or origin;
include unsafe, illegal, counterfeit, or sanctioned items;
manipulate reviews, rankings, search results, or transactions;
direct Users to off-platform payments or prohibited communications; or
violate MRNMarket policies or applicable law.

MRNMarket may review, edit, reject, remove, restrict, or disable Listings at any time where permitted by policy or law.

MRNMarket does not endorse, guarantee, or verify every Listing, Product, Service, statement, image, claim, warranty, or seller representation.

12. Prohibited and Restricted Products

Users must comply with the MRNMarket Prohibited Products Policy, Listing Policy, Acceptable Use Policy, and all applicable laws.

Prohibited Products may include Products, Services, Listings, content, or activities that are illegal, unsafe, counterfeit, infringing, restricted, regulated without authorization, fraudulent, deceptive, sanctioned, harmful, or otherwise prohibited.

Restricted Products may be sold only if the Seller satisfies all applicable legal, licensing, documentation, product safety, age verification, category approval, shipping, customs, and MRNMarket approval requirements.

MRNMarket may remove, restrict, suspend, or report prohibited or restricted activity where permitted or required by law.

13. Orders and Transactions

Orders and Transactions are subject to:

seller acceptance or availability;
payment authorization;
verification review;
fraud and risk review;
delivery availability;
compliance review;
product restrictions;
Payment Processor rules;
MRNMarket policies; and
applicable law.

MRNMarket may cancel, delay, limit, reject, or review Orders or Transactions where necessary to reduce risk, comply with law, enforce policies, respond to disputes, address payment issues, or protect Users and the Platform.

A confirmation message does not guarantee that an Order will be accepted, fulfilled, delivered, or completed.

14. Payments

Payments, refunds, chargebacks, holds, reversals, payouts, settlements, reserves, and related payment activities may be processed through third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

MRNMarket does not:

operate as a bank;
custody customer funds;
operate user bank accounts;
provide money transmission services;
provide banking services;
provide financial advisory services;
act as a licensed escrow provider;
act as a payment processor unless expressly stated in writing;
guarantee Payment Processor, bank, card network, digital wallet, or financial institution outcomes; or
guarantee that any Transaction will be risk-free, dispute-free, error-free, or completed successfully.

Users must comply with all payment processor rules, card network rules, bank requirements, tax obligations, and applicable laws.

MRNMarket may use payment-related information for fraud prevention, compliance review, risk review, dispute support, refund review, payout review, and enforcement purposes.

15. Payment Review, Holds, and Release

Where permitted by applicable law and Payment Processor rules, certain payments, refunds, payouts, settlements, or related amounts may be subject to temporary review, hold, delay, reserve, restriction, or release procedures.

Such procedures may be used for reasons including:

delivery confirmation;
fraud prevention;
chargeback risk;
dispute review;
compliance review;
sanctions screening;
seller performance;
buyer conduct;
account verification;
legal requirements;
Payment Processor requirements; or
platform risk management.

Payment Review and Release or Payment Holds do not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.

Payment timing and outcomes may depend on Payment Processor rules, banks, card networks, digital wallets, financial institutions, delivery evidence, user conduct, disputes, compliance review, applicable law, and MRNMarket policies.

16. Payouts

Eligible Sellers, Affiliates, Delivery Partners, Service Providers, or other Users may receive payouts subject to:

Payment Processor rules;
account verification;
tax documentation;
MRNMarket policies;
applicable fees;
chargebacks;
refunds;
reserves;
offsets;
disputes;
seller performance;
compliance review;
sanctions screening;
legal requirements; and
applicable law.

MRNMarket may delay, hold, reduce, reverse, offset, or deny payouts where permitted by policy or law.

Payout eligibility does not guarantee payout timing, amount, method, or success.

17. Refunds, Returns, and Chargebacks

Refunds, returns, exchanges, credits, adjustments, and chargebacks are subject to:

MRNMarket policies;
seller policies;
Product or Service type;
delivery status;
return condition;
evidence review;
Payment Processor rules;
card network rules;
bank decisions;
dispute review;
fraud review; and
applicable law.

Buyers must not misuse refund, return, or chargeback processes.

Sellers must cooperate with refund, return, chargeback, and dispute review procedures.

MRNMarket may support platform-level review, but MRNMarket does not guarantee refunds, returns, chargeback outcomes, or dispute outcomes unless required by applicable law or expressly stated in a specific policy.

18. Shipping, Delivery, Customs, and Taxes

Unless expressly stated otherwise, Sellers, Buyers, carriers, delivery partners, importers, exporters, or other responsible parties are responsible for shipping, delivery, customs, import/export compliance, duties, taxes, documentation, and related legal obligations.

MRNMarket is not the carrier, delivery company, customs broker, importer of record, exporter of record, tax adviser, or legal adviser unless expressly stated in writing.

Delivery estimates are not guarantees unless expressly stated and required by applicable law.

Delivery issues may be reviewed under applicable shipping, delivery, refund, return, payment, payout, and dispute policies.

19. Affiliate Terms

Affiliates must comply with the Affiliate Agreement, Affiliate Brand Usage Policy, Affiliate Disclosure Guidelines, Affiliate Fraud & Abuse Policy, Affiliate Payout & Tax Policy, and other applicable policies.

Affiliates must not:

make false or misleading claims;
misrepresent affiliation with MRNMarket;
use unauthorized brand assets;
engage in spam, fake referrals, self-referrals, bot traffic, cookie stuffing, incentive abuse, or commission manipulation;
violate advertising or consumer protection laws;
fail to make required disclosures; or
promote prohibited or restricted activity.

MRNMarket may reject, hold, reverse, reduce, or deny affiliate commissions where permitted by policy or law.

20. Delivery Partners and Service Providers

Delivery Partners and Service Providers must comply with their applicable agreements, MRNMarket policies, service standards, data handling requirements, confidentiality obligations, and applicable laws.

They are responsible for their own services, personnel, subcontractors, equipment, licenses, permits, taxes, insurance, compliance, and performance unless a written agreement states otherwise.

MRNMarket may restrict, suspend, or terminate participation for service failures, compliance concerns, risk issues, policy violations, or legal requirements.

21. User Content

Users may submit, upload, post, transmit, display, or make available User Content through the Platform.

You represent and warrant that:

you own or have the necessary rights to your User Content;
your User Content is accurate and lawful;
your User Content does not infringe third-party rights;
your User Content does not violate privacy, publicity, intellectual property, consumer protection, or other laws; and
your User Content does not violate MRNMarket policies.

You grant MRNMarket a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, copy, reproduce, display, publish, distribute, modify, adapt, translate, and otherwise process User Content for purposes of operating, promoting, improving, securing, supporting, and enforcing the Platform and MRNMarket policies.

MRNMarket may remove, restrict, or disable User Content where permitted by policy or law.

22. Platform Content and Intellectual Property

The Platform and Platform Content are owned, controlled, licensed, or made available by MRNMarket and its licensors.

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, reproduce, exploit, or misuse the Platform or Platform Content except as expressly permitted by MRNMarket.

MRNMarket’s name, logos, trademarks, service marks, graphics, interface, and brand assets may not be used without prior written permission, except as allowed under applicable affiliate or brand usage policies.

Nothing in these Terms transfers ownership of MRNMarket intellectual property to any User.

23. Intellectual Property Complaints

MRNMarket respects intellectual property rights.

Rights owners or authorized representatives may report alleged infringement under the MRNMarket Intellectual Property Policy or DMCA / IP Takedown Policy.

MRNMarket may remove or disable access to allegedly infringing content, notify affected Users, process counter-notices where applicable, and take repeat-infringer enforcement actions where permitted or required by law.

Users must not submit false, misleading, or abusive intellectual property complaints.

24. Privacy and Data Protection

MRNMarket’s collection, use, disclosure, storage, and processing of Personal Data are described in the MRNMarket Privacy Policy, Cookie & Tracking Policy, Data Processing Addendum where applicable, and related privacy notices.

Users must comply with applicable privacy and data protection laws.

Sellers, Affiliates, Delivery Partners, and Service Providers who receive Buyer or User data must use it only for permitted purposes, protect it appropriately, avoid unauthorized sharing, and comply with applicable privacy laws and MRNMarket policies.

25. Acceptable Use

Users must not:

violate any law or regulation;
commit fraud or deception;
interfere with Platform security or operations;
scrape, crawl, harvest, or misuse Platform data without permission;
upload malware or harmful code;
harass, threaten, abuse, or discriminate against others;
impersonate any person or entity;
manipulate reviews, rankings, referrals, commissions, or transactions;
make off-platform payment requests where prohibited;
infringe intellectual property or privacy rights;
evade sanctions, AML, KYC, KYB, tax, customs, or compliance controls;
create fake accounts or misleading identities;
misuse refunds, chargebacks, disputes, or support processes; or
engage in any activity prohibited by MRNMarket policies.

26. Communications

Users agree to receive electronic communications from MRNMarket, including notices, disclosures, agreements, policy updates, support messages, account messages, transaction messages, and legal communications.

Electronic communications may be provided by email, Platform notice, account dashboard, support message, website posting, SMS or messaging tool where enabled, push notification where enabled, or other electronic means permitted by law.

Users are responsible for keeping contact information accurate and current.

Users must communicate honestly and respectfully and must not use MRNMarket communication tools for spam, harassment, fraud, off-platform circumvention, illegal activity, or policy violations.

27. Reviews, Ratings, and Feedback

MRNMarket may allow Users to submit reviews, ratings, comments, or feedback.

Reviews and ratings must be honest, lawful, relevant, and based on genuine experience.

Users must not submit fake reviews, manipulated ratings, abusive comments, competitor sabotage, paid reviews without disclosure, or misleading feedback.

MRNMarket may remove, restrict, or moderate reviews and ratings where permitted by policy or law.

Feedback submitted to MRNMarket may be used without obligation to compensate you, unless otherwise agreed in writing.

28. Disputes Between Users

MRNMarket may provide platform-level dispute support for certain matters involving Orders, Transactions, delivery, refunds, returns, seller performance, buyer conduct, affiliate activity, payouts, listings, account restrictions, or policy enforcement.

Platform-level review is an internal administrative process. It is not a court proceeding, arbitration, legal judgment, arbitral award, or binding legal determination of liability.

MRNMarket may consider available information, including order records, delivery evidence, tracking information, user communications, payment processor information, seller history, buyer conduct, account activity, listing information, and applicable policies.

MRNMarket may make Platform-Level Decisions based on available evidence, platform rules, and applicable law.

29. MRNMarket Enforcement

MRNMarket may take Enforcement Actions where necessary or appropriate to:

protect Users;
comply with law;
enforce policies;
prevent fraud;
reduce risk;
protect the Platform;
address misconduct;
respond to Payment Processor, bank, card network, or legal requirements; or
preserve marketplace integrity.

Enforcement Actions may include:

warnings;
content removal;
listing removal;
refund instructions;
payout holds through Payment Processors;
account restrictions;
transaction limits;
communication limits;
account suspension;
account termination;
commission reversal;
reporting to authorities; or
other measures permitted by applicable law and MRNMarket policies.

MRNMarket is not liable for enforcement actions taken in good faith to protect the Platform, Users, or legal compliance, except where liability cannot be excluded under applicable law.

30. Third-Party Services

The Platform may include links, integrations, tools, APIs, payment services, shipping services, analytics tools, advertising tools, verification services, or other services provided by third parties.

MRNMarket is not responsible for third-party services, websites, systems, decisions, errors, delays, security incidents, terms, privacy practices, fees, or performance.

Your use of third-party services may be subject to separate terms and policies.

31. No Professional Advice

MRNMarket does not provide legal, tax, financial, investment, customs, product safety, regulatory, compliance, or professional advice.

Information provided through the Platform is for general marketplace operation and user support only.

Users are responsible for obtaining professional advice where needed.

32. Disclaimers

To the maximum extent permitted by applicable law, the Platform, Platform Content, tools, services, features, communications, and support are provided on an “as is” and “as available” basis.

MRNMarket does not warrant that:

the Platform will be uninterrupted, secure, timely, or error-free;
Listings, Products, Services, Users, Sellers, Buyers, Affiliates, Delivery Partners, or Service Providers will meet expectations;
Transactions will be completed successfully;
payment, payout, refund, delivery, chargeback, or dispute outcomes will be favorable;
User Content or Listings are accurate, complete, or lawful;
third-party services will function properly; or
defects or errors will be corrected.

Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.

33. Limitation of Liability

To the maximum extent permitted by applicable law, MRNMarket and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including loss of data, goodwill, revenue, business, opportunity, or expected savings.

To the maximum extent permitted by applicable law, MRNMarket’s total liability arising from or relating to the Platform, these Terms, or any Transaction will not exceed the greater of:

the amount of fees paid directly to MRNMarket by the User for the specific service giving rise to the claim during the three months before the claim arose; or
USD $100.

This limitation does not apply where liability cannot be limited under applicable law.

34. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MRNMarket and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from and against claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising from or relating to:

your use of the Platform;
your Products, Services, Listings, or User Content;
your breach of these Terms or MRNMarket policies;
your violation of applicable law;
your violation of third-party rights;
your taxes, customs, product compliance, shipping, delivery, or regulatory obligations;
your fraud, misconduct, negligence, or willful misconduct;
your disputes with another User; or
your use of third-party services.

MRNMarket may control the defense of any matter subject to indemnification, and you agree to cooperate with MRNMarket’s defense.

35. Suspension and Termination

MRNMarket may restrict, suspend, or terminate your access to all or part of the Platform at any time where permitted by law if:

you violate these Terms or any MRNMarket policy;
your Account presents risk;
verification fails or is incomplete;
payment, payout, fraud, chargeback, sanctions, AML, or compliance concerns arise;
you misuse the Platform;
required by Payment Processor rules or applicable law;
MRNMarket discontinues or changes a feature, program, or service; or
necessary to protect Users, MRNMarket, or the Platform.

After termination, provisions that by their nature should survive will continue to apply, including payment obligations, intellectual property rights, disclaimers, limitations of liability, indemnification, dispute terms, and enforcement rights.

36. Governing Law

Unless another MRNMarket policy states otherwise, these Terms are governed by the laws of the State of Montana, United States, without regard to conflict of law rules and without limiting mandatory rights under applicable law.

37. Dispute Resolution and Arbitration

Covered disputes may be subject to the MRNMarket Dispute Resolution & Arbitration Policy, including informal resolution, platform-level mediation, binding arbitration, class action waiver, small claims exceptions, and urgent court relief exceptions.

Arbitration venue is generally Missoula, Montana, United States, unless applicable law requires otherwise.

Nothing in these Terms prevents MRNMarket from seeking urgent court relief, injunctive relief, or equitable relief for intellectual property misuse, platform abuse, security threats, fraud, unauthorized access, or other urgent harm.

38. Policy Hierarchy

These Terms should be read together with the MRNMarket Definitions Policy, Privacy Policy, Cookie & Tracking Policy, Acceptable Use Policy, Buyer Agreement, Seller Agreement, Affiliate Agreement, Payment & Payout Policy, Refund & Return Policy, Prohibited Products Policy, Dispute Resolution & Arbitration Policy, and other applicable MRNMarket policies.

If there is a conflict between MRNMarket legal documents, the following order generally applies unless a document expressly states otherwise or applicable law requires a different result:

applicable law and non-waivable consumer rights;
transaction-specific terms disclosed at checkout, registration, onboarding, or order placement;
these Terms & Conditions;
specific user agreements, including Seller Agreement, Buyer Agreement, Affiliate Agreement, Delivery Partner Agreement, or Service Provider Agreement;
specific topic policies, including Refund & Return Policy, Payment & Payout Policy, Payment Review and Release Policy, Prohibited Products Policy, KYC & AML Policy, or Dispute Resolution & Arbitration Policy;
the Definitions Policy;
FAQs, help pages, support articles, or educational materials.

FAQs, help pages, support articles, and educational materials are provided for convenience. If they conflict with the controlling legal policy, the controlling legal policy prevails.

39. Changes to These Terms

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued use of the Platform after updates are published means you acknowledge the updated Terms.

Where required by law, MRNMarket may provide additional notice or request consent for material changes.

40. No Waiver; Severability

MRNMarket’s failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be interpreted, modified, or limited to the minimum extent necessary to make it valid, lawful, and enforceable. The remaining provisions will continue to apply to the maximum extent permitted by law.

Nothing in these Terms is intended to exclude, restrict, limit, waive, or modify any rights, remedies, warranties, obligations, or protections that cannot be excluded, restricted, limited, waived, or modified under applicable law.

41. Assignment

Users may not assign, transfer, delegate, or sublicense their rights or obligations under these Terms without MRNMarket’s prior written consent.

MRNMarket may assign, transfer, or delegate its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, corporate transaction, change of control, or operation of the Platform.

42. Entire Agreement

These Terms, together with applicable MRNMarket policies and transaction-specific terms, form the agreement between you and MRNMarket regarding your use of the Platform.

They supersede prior or inconsistent understandings relating to the same subject matter, except where a specific written agreement signed or accepted by MRNMarket provides otherwise.
