1. Purpose of This Policy

This Business & Wholesale Policy explains how business-to-business activity, wholesale listings, bulk orders, supplier relationships, business buyers, business sellers, quotes, negotiated pricing, minimum order quantities, commercial terms, documentation, taxes, and compliance obligations may apply on MRNMarket.

This Policy is intended to support lawful B2B marketplace activity, transparent wholesale transactions, supplier accountability, buyer due diligence, product compliance, payment review, and platform integrity.

This Policy does not guarantee supplier performance, buyer creditworthiness, order fulfillment, product quality, wholesale availability, negotiated pricing, tax treatment, import/export compliance, payment approval, payout timing, delivery success, or dispute outcome.

2. MRNMarket’s Marketplace Role

MRNMarket operates primarily as a marketplace technology platform.

Unless a Product or Service is clearly identified as sold by MRNMarket Official Store, MRNMarket is generally not:

1. the Seller;
2. the Buyer;
3. the manufacturer;
4. the supplier;
5. the distributor;
6. the wholesaler;
7. the importer of record;
8. the exporter of record;
9. the customs broker;
10. the warehouse operator;
11. the carrier;
12. the delivery company;
13. the Merchant of Record;
14. a bank;
15. a money transmitter;
16. a licensed escrow provider;
17. a payment processor;
18. a financial institution;
19. a legal adviser;
20. a tax adviser;
21. a trade compliance adviser; or
22. a party to the underlying commercial sale contract between Buyer and Seller.

MRNMarket may provide marketplace tools, Listing tools, quote tools, communication tools, payment integrations, delivery review, dispute support, verification tools, compliance review, and platform-level administrative processes.

Providing these tools does not make MRNMarket responsible for wholesale Product quality, supplier performance, buyer conduct, trade compliance, customs clearance, tax obligations, commercial warranties, credit risk, delivery performance, payment outcomes, or user-to-user business contracts, except where required by applicable law or where MRNMarket acts as Merchant of Record for MRNMarket Official Store Transactions.

3. Scope of Business & Wholesale Activity

This Policy may apply to:

1. wholesale Product Listings;
2. business-to-business Transactions;
3. bulk Orders;
4. minimum order quantity Listings;
5. quote requests;
6. negotiated pricing;
7. supplier inquiries;
8. business Buyer accounts;
9. business Seller accounts;
10. distributor activity;
11. manufacturer activity;
12. reseller activity;
13. dropship supplier activity where permitted;
14. service provider activity;
15. recurring supply arrangements;
16. product sourcing requests;
17. commercial invoices;
18. tax documentation;
19. customs documentation;
20. compliance documentation;
21. and other business or wholesale marketplace activity.

MRNMarket may approve, restrict, suspend, or discontinue business or wholesale features where permitted by policy and law.

4. Business Account Eligibility

Users participating in business or wholesale activity may be required to complete business verification.

MRNMarket may request:

1. legal business name;
2. trade name or DBA;
3. business address;
4. business registration documents;
5. tax identification number;
6. VAT/GST information where applicable;
7. ownership information;
8. beneficial ownership information;
9. representative authority;
10. business license or permit;
11. product category information;
12. supplier information;
13. resale certificates where applicable;
14. import/export documents where applicable;
15. insurance documents where applicable;
16. bank or payout information;
17. sanctions screening information;
18. fraud review information;
19. and other information reasonably required by MRNMarket, Payment Processors, or applicable law.

Business verification does not guarantee User reliability, supplier performance, buyer creditworthiness, transaction success, delivery success, product quality, payment success, payout success, or legal compliance.

5. Business Buyers

Business Buyers are responsible for:

1. reviewing Product and Supplier information before purchase;
2. confirming suitability for resale, commercial use, import, export, or distribution;
3. verifying required documentation;
4. confirming pricing, quantity, specifications, packaging, labeling, and delivery terms;
5. confirming applicable taxes, duties, customs, and regulatory obligations;
6. complying with import/export laws;
7. complying with product safety laws;
8. complying with resale, licensing, and distribution requirements;
9. providing accurate billing, shipping, tax, and business information;
10. paying all applicable amounts;
11. cooperating with verification, payment review, delivery review, and dispute review;
12. and complying with MRNMarket policies and applicable law.

Business Buyers should conduct their own due diligence before placing bulk, wholesale, or commercial Orders.

MRNMarket does not provide procurement, sourcing, tax, customs, legal, product compliance, or financial advice.

6. Business Sellers and Wholesale Suppliers

Business Sellers and wholesale suppliers are responsible for:

1. accurate wholesale Listings;
2. lawful Products and Services;
3. Product quality and safety;
4. accurate pricing and availability;
5. minimum order quantity terms;
6. packaging and labeling;
7. product specifications;
8. warranties where applicable;
9. compliance documentation;
10. product safety documents;
11. export documentation;
12. commercial invoices;
13. fulfillment and shipping;
14. delivery obligations;
15. refunds, returns, replacements, and cancellations where required;
16. taxes, duties, customs, and Product compliance;
17. required licenses, permits, certifications, and approvals;
18. responding to Buyers and MRNMarket;
19. protecting Buyer data;
20. and complying with all applicable policies and laws.

Wholesale suppliers must not misrepresent capacity, inventory, certifications, authenticity, origin, factory status, brand authorization, or compliance status.

7. Wholesale Listings

Wholesale Listings must be accurate, complete, lawful, and not misleading.

Wholesale Listings should clearly state:

1. Product description;
2. brand or manufacturer where applicable;
3. condition;
4. specifications;
5. quantity;
6. unit price;
7. wholesale price;
8. minimum order quantity;
9. quantity tiers where applicable;
10. packaging information;
11. lead time;
12. handling time;
13. shipping method;
14. delivery estimate;
15. origin country;
16. available documentation;
17. certifications where applicable;
18. warranty terms where applicable;
19. return or cancellation terms;
20. restrictions;
21. and other material commercial terms.

Sellers must update wholesale Listings promptly if pricing, inventory, lead times, specifications, restrictions, or availability change.

8. Minimum Order Quantities and Bulk Orders

Wholesale Listings may include minimum order quantities, bulk pricing, tiered pricing, case quantities, pallet quantities, container quantities, or other commercial order requirements.

Sellers must clearly disclose minimum order quantities and any conditions that affect pricing, fulfillment, shipping, cancellation, or returns.

Buyers are responsible for reviewing quantity terms before placing Orders.

MRNMarket does not guarantee availability, pricing, inventory, lead times, or bulk fulfillment unless expressly stated in a controlling policy or transaction-specific term.

9. Quotes and Negotiated Terms

MRNMarket may provide tools for quote requests, negotiated pricing, business inquiries, or custom commercial terms.

Any quote, negotiated price, lead time, quantity, shipping term, warranty term, or custom condition must be clear, documented, and consistent with MRNMarket policies.

Users must not use quote tools to bypass MRNMarket checkout, payment channels, fees, Buyer Protection review, dispute review, or platform policies where prohibited.

MRNMarket is not responsible for off-platform negotiations, private arrangements, direct payments, or commercial terms not recorded in MRNMarket systems.

10. Samples and Product Evaluation

Sellers may offer samples where permitted by law and MRNMarket policies.

Sample availability, pricing, shipping, returnability, and suitability are subject to Seller terms, MRNMarket policies, and applicable law.

Buyers should not assume that a sample guarantees future bulk availability, identical production quality, pricing, certification, packaging, or delivery timing.

11. Product Compliance and Documentation

Business and wholesale Products may require additional documentation.

MRNMarket may request or Users may need to provide:

1. commercial invoices;
2. supplier invoices;
3. certificates of origin;
4. conformity certificates;
5. testing reports;
6. product safety certificates;
7. licenses;
8. permits;
9. labeling documents;
10. warranty documents;
11. import/export documents;
12. customs documents;
13. material safety data sheets where applicable;
14. brand authorization letters;
15. authenticity documents;
16. insurance documents;
17. packaging specifications;
18. product manuals;
19. compliance declarations;
20. and other documents.

Sellers are responsible for ensuring documentation is accurate, complete, current, and legally sufficient.

MRNMarket does not guarantee acceptance of documents by customs, regulators, carriers, Buyers, or other third parties.

12. Prohibited and Restricted Products

Business and wholesale activity must comply with the Prohibited Products Policy, Listing Policy, Seller Agreement, Global Trade Policy, and applicable law.

Sellers and Buyers must not list, sell, buy, promote, ship, import, export, or support Products or Services that are:

1. illegal;
2. unsafe;
3. counterfeit;
4. stolen;
5. infringing;
6. sanctioned;
7. recalled;
8. fraudulent;
9. deceptive;
10. hazardous without authorization;
11. regulated without required approval;
12. restricted without MRNMarket approval;
13. or otherwise prohibited.

Restricted Products may require licensing, documentation, category approval, age verification, safety review, shipping controls, customs review, or MRNMarket approval.

13. Pricing, Taxes, Duties, and Fees

Business and wholesale pricing may be subject to taxes, duties, customs charges, import fees, shipping fees, service fees, Payment Processor fees, currency conversion fees, or other charges.

Unless expressly stated otherwise:

1. Buyers are responsible for reviewing total costs before placing Orders;
2. Buyers may be responsible for import duties, customs charges, and local taxes;
3. Sellers may be responsible for export-related obligations and required documentation;
4. Users are responsible for their own tax reporting and compliance;
5. MRNMarket does not guarantee tax, duty, or fee calculations.

MRNMarket does not provide tax, accounting, customs, legal, financial, or trade compliance advice.

14. Payment Review and Payouts

Business and wholesale Transactions may be subject to Payment Review and Release procedures.

Payments, refunds, chargebacks, payouts, settlements, reserves, and related payment activity may be processed by third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

MRNMarket is not a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser unless expressly stated in writing.

Business or wholesale Transactions may be reviewed or held for reasons including:

1. high-value Transaction review;
2. bulk order review;
3. delivery confirmation;
4. fraud prevention;
5. chargeback risk;
6. dispute review;
7. refund review;
8. return review;
9. compliance review;
10. sanctions screening;
11. Seller performance;
12. Buyer conduct;
13. business verification;
14. tax documentation review;
15. Payment Processor requirements;
16. legal requirements;
17. or platform risk management.

Payout eligibility, payout timing, payment approval, refund timing, and release timing are not guaranteed.

15. Shipping, Freight, and Delivery

Business and wholesale Orders may involve standard shipping, freight shipping, pallet shipping, container shipping, warehouse fulfillment, delivery partners, carriers, customs brokers, or other logistics providers.

Unless expressly stated otherwise, Sellers, Buyers, importers, exporters, carriers, or logistics providers are responsible for shipping, freight, customs clearance, delivery appointments, documentation, duties, taxes, permits, and delivery compliance.

MRNMarket is not a freight forwarder, carrier, delivery company, warehouse operator, customs broker, importer of record, or exporter of record unless expressly stated in writing.

Delivery estimates are not guarantees.

16. Inspection, Acceptance, and Disputes

Business and wholesale Orders may require prompt inspection after delivery.

Buyers should inspect Products promptly and report issues within the applicable review period.

Issues may include:

1. non-delivery;
2. late shipment;
3. damaged goods;
4. missing quantities;
5. wrong Products;
6. materially different Products;
7. documentation discrepancies;
8. quality issues;
9. or compliance issues.

MRNMarket may provide platform-level dispute review where applicable, but MRNMarket does not act as a court, arbitrator, quality inspector, product certifier, customs adviser, or legal adjudicator.

A Platform-Level Decision is not a court judgment, arbitral award, or legal determination of liability.

17. Returns, Refunds, and Cancellations

Returns, refunds, exchanges, replacements, cancellations, and adjustments for business or wholesale Orders may depend on:

1. Seller policy;
2. Listing terms;
3. negotiated terms;
4. Product type;
5. order quantity;
6. customization;
7. production status;
8. shipment status;
9. delivery status;
10. return condition;
11. evidence review;
12. Payment Processor rules;
13. MRNMarket policies;
14. and applicable law.

Bulk, wholesale, customized, perishable, regulated, made-to-order, or special-order Products may be non-returnable or subject to limited return rights unless required by law or a controlling policy.

MRNMarket does not guarantee refund approval, return approval, exchange approval, replacement availability, or cancellation approval.

18. Business Communications

Business communications must be honest, professional, lawful, and conducted through approved MRNMarket channels where required.

Users must not use business communications to:

1. request prohibited off-platform payments;
2. bypass MRNMarket fees or policies;
3. misrepresent pricing, quantities, specifications, or documents;
4. pressure Users to close disputes;
5. manipulate reviews or ratings;
6. share unauthorized Personal Data;
7. send spam or scams;
8. impersonate MRNMarket;
9. or violate MRNMarket policies.

19. Resale and Distribution

Buyers purchasing for resale or distribution are responsible for:

1. confirming resale rights;
2. verifying brand authorization where required;
3. complying with distribution restrictions;
4. complying with labeling and consumer protection laws;
5. complying with product safety laws;
6. complying with tax obligations;
7. complying with import/export laws;
8. and ensuring Products are lawful for resale in the intended market.

MRNMarket does not guarantee resale rights, distribution rights, brand authorization, market suitability, or regulatory compliance.

20. No Credit, Financing, or Trade Assurance

Unless expressly stated in writing, MRNMarket does not provide:

1. trade credit;
2. supplier financing;
3. buyer financing;
4. purchase order financing;
5. factoring;
6. letters of credit;
7. guarantees;
8. trade assurance;
9. insurance;
10. escrow;
11. credit checks;
12. creditworthiness assessments;
13. or financial advisory services.

Any payment terms, financing, credit, or insurance offered by third parties may be subject to separate terms and third-party approval.

21. Off-Platform Transactions

Business and wholesale Transactions conducted outside MRNMarket are not eligible for Buyer Protection, dispute review, refund review, payment review support, delivery confirmation review, payout support, or platform-level assistance.

Users must not use MRNMarket tools to bypass approved checkout, payment channels, fees, policies, or review systems where prohibited.

MRNMarket is not responsible for off-platform negotiations, private arrangements, direct payments, external links, or Transactions not recorded in MRNMarket systems.

22. Enforcement

MRNMarket may take Enforcement Actions where business or wholesale activity creates legal, financial, operational, compliance, fraud, safety, product, payment, or platform risk.

Enforcement Actions may include:

1. requesting information or documents;
2. restricting wholesale features;
3. restricting quote tools;
4. removing Listings;
5. restricting categories;
6. canceling Orders;
7. issuing refund instructions where permitted;
8. delaying or holding payouts where permitted;
9. applying reserves;
10. restricting payment or payout methods;
11. restricting Accounts;
12. suspending Accounts;
13. terminating Accounts;
14. denying commissions;
15. reporting to Payment Processors, banks, card networks, carriers, regulators, customs authorities, law enforcement, rights owners, affected Users, or other relevant parties where permitted or required;
16. preserving records;
17. and other actions permitted by policy and law.

23. No Guarantee

MRNMarket does not guarantee:

1. wholesale availability;
2. supplier performance;
3. buyer creditworthiness;
4. product quality;
5. product authenticity;
6. product compliance;
7. documentation acceptance;
8. negotiated pricing;
9. bulk fulfillment;
10. delivery success;
11. freight availability;
12. customs clearance;
13. tax treatment;
14. payment approval;
15. payout timing;
16. refund approval;
17. return approval;
18. dispute outcome;
19. resale rights;
20. distribution rights;
21. or third-party service performance.

Users remain responsible for their own business decisions, due diligence, compliance, taxes, documents, contracts, Products, shipments, and legal obligations.

24. Relationship With Other Policies

This Policy should be read together with:

21. and other applicable MRNMarket policies.

If this Business & Wholesale Policy conflicts with the Terms & Conditions or another controlling MRNMarket policy, the controlling policy will apply, subject to rights that cannot be waived under applicable law.

25. Changes to This Policy

MRNMarket may update this Business & Wholesale Policy from time to time to reflect changes in the Platform, applicable law, business features, wholesale programs, Payment Processor requirements, product categories, trade requirements, marketplace practices, risk controls, operational needs, or other policies.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued use of business or wholesale features after updates are published means the User acknowledges the updated Policy.

Where required by law, MRNMarket may provide additional notice or request consent for material changes.
