1. Purpose of This Policy

This Platform Rules & Governance Policy explains how MRNMarket may operate, manage, monitor, review, moderate, restrict, and enforce rules across the Platform.

This Policy is intended to support:

  1. marketplace integrity;
  2. user safety;
  3. fair participation;
  4. trust and transparency;
  5. fraud prevention;
  6. product and listing quality;
  7. payment and payout review;
  8. dispute support;
  9. compliance with laws and third-party requirements;
  10. responsible platform growth; and
  11. consistent policy enforcement.

This Policy applies to all Users, including Buyers, Sellers, Affiliates, Delivery Partners, Service Providers, visitors, business partners, and anyone else who accesses or uses the Platform.

This Policy should be read together with the MRNMarket Terms & Conditions, Definitions Policy, Acceptable Use Policy, KYC & AML Policy, Listing Policy, Prohibited Products Policy, Payment & Payout Policy, Refund & Return Policy, Dispute Resolution & Arbitration Policy, and other applicable MRNMarket policies.

2. MRNMarket’s Platform Role

MRNMarket operates primarily as a marketplace technology platform.

Unless a Product or Service is expressly identified as sold by MRNMarket Official Store, MRNMarket is generally not:

  1. the Seller;
  2. the Buyer;
  3. the manufacturer;
  4. the supplier;
  5. the carrier;
  6. the delivery company;
  7. the importer of record;
  8. the exporter of record;
  9. the customs broker;
  10. the Merchant of Record;
  11. an escrow provider;
  12. a bank;
  13. a money transmitter;
  14. a payment processor;
  15. a financial institution;
  16. a tax adviser;
  17. a legal adviser; or
  18. a party to the underlying sale contract between Buyer and Seller.

MRNMarket may provide marketplace infrastructure, listing tools, account tools, payment integrations, communication tools, dispute tools, verification tools, compliance tools, review tools, and administrative support.

Providing these tools does not make MRNMarket responsible for Seller Products, Buyer conduct, delivery performance, customs clearance, seller warranties, product compliance, tax obligations, payment processor outcomes, carrier performance, or other third-party actions, except where required by applicable law.

3. Platform Governance Principles

MRNMarket may govern the Platform based on the following principles:

  1. Safety: protecting Users, Accounts, data, Transactions, and Platform integrity.
  2. Fairness: applying policies in a reasonable and risk-based manner.
  3. Transparency: providing policies and explanations where appropriate.
  4. Compliance: supporting legal, regulatory, payment processor, and sanctions requirements.
  5. Trust: reducing fraud, abuse, counterfeit activity, and misleading conduct.
  6. Accountability: requiring Users to be responsible for their conduct, Listings, Products, Services, communications, and obligations.
  7. Responsible growth: limiting, testing, or expanding Platform features based on operational readiness and risk review.

These principles guide Platform operations but do not create guarantees, warranties, or obligations beyond applicable MRNMarket policies and applicable law.

4. Platform Access and Availability

MRNMarket may approve, deny, limit, suspend, terminate, or condition access to the Platform or any Platform feature.

Access and feature availability may vary based on:

  1. user type;
  2. location;
  3. account status;
  4. verification status;
  5. risk review;
  6. product or service category;
  7. transaction history;
  8. payment processor rules;
  9. legal requirements;
  10. operational readiness;
  11. pilot or testing stage;
  12. technical limitations;
  13. compliance obligations; and
  14. business needs.

MRNMarket does not guarantee that the Platform, any feature, any category, any program, or any geographic market will always be available, uninterrupted, error-free, secure, or continued.

5. Pilot, Beta, and Limited-Access Programs

MRNMarket may operate certain services, features, categories, payment functions, seller programs, buyer programs, affiliate programs, delivery tools, or dispute processes through pilot, beta, test, or limited-access programs.

During such programs, MRNMarket may limit or restrict:

  1. registration;
  2. seller approval;
  3. buyer access;
  4. affiliate participation;
  5. product categories;
  6. transaction values;
  7. geographic availability;
  8. payment review and release procedures;
  9. payout timing;
  10. delivery methods;
  11. automation;
  12. support options;
  13. dispute review processes; and
  14. other Platform features.

Participation in a pilot, beta, test, or limited-access program is not guaranteed. MRNMarket may approve, reject, modify, suspend, or terminate participation at any time where permitted by policy and law.

Future roadmap, expansion, automation, or feature statements are informational only and do not create a binding commitment, warranty, guarantee, or obligation to release, continue, or support any feature.

6. Account Governance

MRNMarket may review, approve, restrict, suspend, terminate, or require additional information for Accounts.

MRNMarket may consider:

  1. account information;
  2. identity or business verification;
  3. beneficial ownership;
  4. contact information;
  5. payment or payout information;
  6. tax information;
  7. account activity;
  8. login activity;
  9. transaction history;
  10. dispute history;
  11. chargeback activity;
  12. refund activity;
  13. seller performance;
  14. buyer conduct;
  15. affiliate activity;
  16. communications;
  17. policy compliance;
  18. fraud indicators;
  19. sanctions or AML risk;
  20. linked accounts;
  21. complaints; and
  22. applicable law.

Users are responsible for maintaining accurate Account information, protecting credentials, using Accounts lawfully, and complying with Platform rules.

7. User Verification and Risk Review

MRNMarket may require identity, business, tax, payment, location, ownership, compliance, risk, or document review.

Verification and risk review may be required before or during:

  1. account registration;
  2. seller onboarding;
  3. buyer activity;
  4. affiliate participation;
  5. delivery partner participation;
  6. service provider participation;
  7. listing approval;
  8. order processing;
  9. payment review;
  10. payout review;
  11. refund review;
  12. dispute review;
  13. high-risk activity;
  14. or continued Platform access.

Verification does not guarantee user performance, product quality, delivery success, transaction outcome, legal compliance, payment success, payout success, or absence of fraud.

8. Listing and Content Governance

MRNMarket may review, approve, reject, edit, remove, restrict, disable, rank, de-rank, hide, label, or moderate Listings, User Content, reviews, ratings, promotional materials, messages, and other Platform content.

MRNMarket may take action if content is:

  1. inaccurate;
  2. incomplete;
  3. misleading;
  4. illegal;
  5. unsafe;
  6. counterfeit;
  7. infringing;
  8. deceptive;
  9. restricted without approval;
  10. sanctioned;
  11. harmful;
  12. abusive;
  13. spam;
  14. manipulated;
  15. inconsistent with category rules;
  16. inconsistent with seller standards;
  17. inconsistent with buyer safety;
  18. inconsistent with search or ranking integrity;
  19. inconsistent with MRNMarket policies; or
  20. otherwise unsuitable for the Platform.

MRNMarket does not guarantee that every Listing, review, rating, message, product claim, seller statement, image, or content item is accurate, complete, lawful, reviewed, verified, or approved.

9. Search, Ranking, Recommendations, and Visibility

MRNMarket may determine how Listings, Sellers, Products, Services, content, offers, campaigns, or Users appear on the Platform.

Search results, ranking, visibility, recommendations, labels, and placement may be influenced by factors such as:

  1. relevance;
  2. category;
  3. availability;
  4. price;
  5. delivery options;
  6. seller performance;
  7. listing quality;
  8. buyer feedback;
  9. policy compliance;
  10. account status;
  11. verification status;
  12. location;
  13. risk review;
  14. fraud indicators;
  15. advertising or promotional participation;
  16. user preferences;
  17. operational testing;
  18. Platform integrity; and
  19. business needs.

MRNMarket may change ranking, visibility, search, recommendation, or display systems at any time.

MRNMarket does not guarantee any specific ranking, placement, traffic, visibility, impressions, clicks, sales, conversions, commissions, or outcomes.

10. Reviews, Ratings, and Feedback Governance

MRNMarket may allow Users to submit reviews, ratings, comments, or feedback.

Reviews and ratings must be honest, relevant, lawful, and based on genuine experience.

MRNMarket may remove, restrict, label, de-rank, or moderate reviews, ratings, or feedback that appear to be:

  1. fake;
  2. manipulated;
  3. abusive;
  4. irrelevant;
  5. misleading;
  6. paid or incentivized without proper disclosure;
  7. defamatory;
  8. discriminatory;
  9. retaliatory;
  10. spam;
  11. generated by bots;
  12. based on conflicts of interest;
  13. unrelated to actual Platform activity;
  14. or otherwise inconsistent with MRNMarket policies.

MRNMarket does not guarantee the accuracy, completeness, fairness, or reliability of reviews or ratings.

11. Transaction Governance

MRNMarket may review, limit, delay, cancel, reject, or require additional information for Orders, Transactions, refunds, returns, payouts, commissions, chargebacks, or related activity.

MRNMarket may consider:

  1. payment authorization;
  2. transaction value;
  3. transaction frequency;
  4. delivery confirmation;
  5. risk review;
  6. fraud indicators;
  7. sanctions screening;
  8. AML review;
  9. account verification;
  10. seller performance;
  11. buyer conduct;
  12. dispute history;
  13. refund or chargeback activity;
  14. product category;
  15. payment processor rules;
  16. legal requirements;
  17. and Platform policies.

A confirmation message does not guarantee that an Order or Transaction will be accepted, fulfilled, delivered, paid out, refunded, or completed.

12. Payment and Payout Governance

Payments, refunds, chargebacks, holds, reversals, payouts, settlements, reserves, and related payment activities may be processed by third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

MRNMarket is not a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser unless expressly stated in writing.

Where permitted by applicable law and Payment Processor rules, MRNMarket may support payment review, payout review, refund review, chargeback support, delivery confirmation, compliance review, fraud review, reserves, holds, delays, offsets, reversals, restrictions, or release procedures.

Payment Review and Release or Payment Holds do not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.

MRNMarket does not guarantee payment authorization, payout timing, refund outcomes, chargeback outcomes, processor decisions, bank decisions, card network decisions, digital wallet decisions, or financial institution outcomes.

13. Dispute Governance

MRNMarket may provide platform-level dispute support for certain matters involving:

  1. Orders;
  2. Transactions;
  3. delivery;
  4. refunds;
  5. returns;
  6. chargebacks;
  7. payouts;
  8. commissions;
  9. Seller performance;
  10. Buyer conduct;
  11. Affiliate activity;
  12. Listings;
  13. User Content;
  14. Account restrictions;
  15. policy enforcement; or
  16. other Platform activity.

Platform-level dispute review is an internal administrative process. It is not a court proceeding, arbitration, legal judgment, arbitral award, or binding legal determination of liability.

MRNMarket may make Platform-Level Decisions based on available evidence, Platform records, User communications, payment processor information, delivery evidence, applicable policies, and applicable law.

14. Enforcement Governance

MRNMarket may take Enforcement Actions where it believes, in good faith, that action is necessary or appropriate to:

  1. protect Users;
  2. comply with law;
  3. enforce policies;
  4. prevent fraud;
  5. reduce risk;
  6. protect the Platform;
  7. address misconduct;
  8. respond to payment processor, bank, card network, delivery, legal, regulatory, or third-party requirements;
  9. preserve marketplace integrity; or
  10. support operational needs.

Enforcement Actions may include:

  1. warnings;
  2. requests for information;
  3. content removal;
  4. Listing removal or restriction;
  5. ranking or visibility reduction;
  6. feature limitations;
  7. communication restrictions;
  8. transaction limits;
  9. payment review;
  10. payout delay, hold, reduction, reversal, offset, or denial where permitted;
  11. refund instructions;
  12. Order cancellation;
  13. Account restriction;
  14. Account suspension;
  15. Account termination;
  16. commission reversal;
  17. blocking access;
  18. reporting to authorities, processors, banks, card networks, rights owners, affected parties, or other relevant parties where permitted or required; and
  19. other measures permitted by policy and law.

MRNMarket is not required to take the same action in every case and may consider severity, risk, history, evidence, intent, legal obligations, operational needs, and platform integrity.

15. Automated and Manual Review

MRNMarket may use automated, semi-automated, and manual review tools to support:

  1. account review;
  2. verification;
  3. fraud detection;
  4. sanctions screening;
  5. AML review;
  6. listing review;
  7. content moderation;
  8. payment review;
  9. payout review;
  10. dispute support;
  11. search and ranking;
  12. affiliate fraud review;
  13. security monitoring;
  14. policy enforcement; and
  15. platform integrity.

Automated tools may help identify risk, but they may not detect every issue and may require manual review.

MRNMarket does not guarantee that automated or manual review will detect, prevent, remove, or resolve all fraud, abuse, violations, illegal activity, security issues, or prohibited conduct.

16. Appeals and Reconsideration

Where available, MRNMarket may allow Users to request reconsideration of certain Platform-Level Decisions.

Appeals or reconsideration requests should include:

  1. the User’s name;
  2. Account information;
  3. relevant Order, Listing, Transaction, or decision reference;
  4. explanation of the issue;
  5. supporting evidence;
  6. documents or communications; and
  7. requested outcome.

MRNMarket may accept, reject, modify, reverse, or uphold a decision based on available evidence, policies, risk review, legal requirements, third-party rules, and operational considerations.

MRNMarket is not required to offer appeals for every decision.

17. Transparency and Notices

Where appropriate and permitted by law, MRNMarket may provide notices, explanations, warnings, status updates, enforcement reasons, policy references, or support information.

MRNMarket may limit or withhold details where disclosure could:

  1. compromise security;
  2. reveal fraud detection methods;
  3. interfere with investigations;
  4. violate law;
  5. violate third-party rights;
  6. expose confidential information;
  7. create risk to Users or the Platform;
  8. conflict with payment processor, bank, card network, regulator, law enforcement, or legal requirements; or
  9. enable policy circumvention.

18. User Responsibilities

Users are responsible for:

  1. understanding and following MRNMarket policies;
  2. providing accurate and current information;
  3. maintaining Account security;
  4. using the Platform lawfully;
  5. avoiding prohibited conduct;
  6. ensuring Listings are accurate and lawful;
  7. fulfilling Orders and obligations;
  8. protecting Personal Data;
  9. cooperating with verification and review procedures;
  10. responding to MRNMarket requests;
  11. complying with payment processor rules;
  12. complying with sanctions, AML, tax, customs, product compliance, privacy, consumer protection, and other applicable laws; and
  13. maintaining records where appropriate.

Users remain responsible for their own conduct, decisions, Products, Services, content, communications, and legal obligations.

19. No Guarantee

MRNMarket may use policies, tools, reviews, enforcement systems, compliance processes, and support procedures to help govern the Platform.

However, MRNMarket does not guarantee:

  1. uninterrupted Platform access;
  2. error-free Platform operation;
  3. complete fraud prevention;
  4. complete policy enforcement;
  5. accuracy of all Listings or User Content;
  6. safety of all Transactions;
  7. performance of Users or third parties;
  8. specific search ranking or visibility;
  9. payment or payout timing;
  10. refund, return, chargeback, dispute, or arbitration outcomes;
  11. successful delivery;
  12. or detection of every violation.

20. Changes to This Policy

MRNMarket may update this Platform Rules & Governance Policy from time to time to reflect changes in the Platform, applicable law, business operations, Payment Processor requirements, marketplace practices, risk controls, operational needs, user safety, or other policies.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued use of the Platform after updates are published means the User acknowledges the updated Policy.

Where required by law, MRNMarket may provide additional notice or request consent for material changes.

21. Policy Hierarchy

This Policy should be read together with the MRNMarket Terms & Conditions, Definitions Policy, Acceptable Use Policy, KYC & AML Policy, Listing Policy, Prohibited Products Policy, Payment & Payout Policy, Refund & Return Policy, Dispute Resolution & Arbitration Policy, and other applicable policies.

If this Policy conflicts with the Terms & Conditions or another controlling MRNMarket policy, the controlling policy will apply, subject to rights that cannot be waived under applicable law.
