1. Purpose of This Policy

This Definitions & Interpretation Policy explains the key terms, definitions, interpretation rules, policy hierarchy, and standard legal language used across MRNMarket’s legal documents, policies, agreements, notices, guidelines, FAQs, help pages, support materials, and platform rules.

This Policy is intended to help Users understand how important words are used across MRNMarket’s legal framework and to ensure that MRNMarket’s legal documents are interpreted consistently.

This Policy forms part of MRNMarket’s legal framework. It does not replace the MRNMarket Terms & Conditions or any specific MRNMarket policy. If a specific MRNMarket policy expressly defines a term differently for that policy only, the specific definition will apply for that policy.

Nothing in this Policy limits any rights, remedies, protections, or obligations that cannot be waived, excluded, restricted, or modified under Applicable Law.

2. Company Name and Legal Identity

For purposes of MRNMarket’s legal documents:

“MRNMarket,” “Company,” “we,” “us,” or “our” means MRN Global Market LLC, doing business as MRNMarket, operating from:

The preferred public brand name is MRNMarket.

References to “MRN Market,” “MRN MARKET,” or similar variations refer to MRNMarket unless the context clearly requires otherwise. However, all MRNMarket legal documents should use the preferred name MRNMarket for consistency.

3. Platform Definition

“Platform” means MRNMarket.com and all related websites, mobile websites, mobile applications, APIs, dashboards, marketplace tools, seller tools, buyer tools, affiliate tools, delivery features, payment integrations, communication systems, account systems, support systems, software, content, services, and features operated, controlled, supported, or made available by MRNMarket.

The Platform includes any current or future MRNMarket-operated, MRNMarket-controlled, or MRNMarket-supported:

  1. website;
  2. mobile application;
  3. seller dashboard;
  4. buyer dashboard;
  5. affiliate portal;
  6. delivery partner portal;
  7. service provider portal;
  8. payment interface;
  9. checkout system;
  10. dispute system;
  11. communication tool;
  12. review system;
  13. listing tool;
  14. verification tool;
  15. support channel;
  16. API; or
  17. related service.

Availability of Platform features may vary by user type, location, category, legal requirement, Payment Processor rules, operational readiness, risk review, and platform stage.

4. User Categories

4.1 User

“User,” “you,” or “your” means any person, business, organization, or legal entity that accesses, browses, registers for, uses, purchases through, sells through, promotes, delivers through, provides services through, or otherwise interacts with the Platform.

A User may include a Buyer, Seller, Affiliate, Delivery Partner, Service Provider, visitor, business partner, or other person or entity using the Platform.

4.2 Buyer

“Buyer” means a User who purchases, attempts to purchase, orders, receives, requests, returns, or otherwise acquires Products or Services through the Platform.

4.3 Seller

“Seller” means a User who lists, offers, markets, sells, supplies, fulfills, ships, or provides Products or Services through the Platform.

A Seller may include a merchant, vendor, supplier, store owner, brand owner, reseller, service provider, or other commercial participant approved or permitted to sell through the Platform.

4.4 Affiliate

“Affiliate” means a User approved or permitted by MRNMarket to promote the Platform, Products, Sellers, Services, offers, links, campaigns, or other marketplace activity in exchange for potential commissions, referral payments, rewards, or other compensation.

Affiliates may include referral partners, influencers, publishers, marketers, creators, agencies, or promotional partners.

4.5 Delivery Partner

“Delivery Partner” means a User or third-party provider who provides, arranges, supports, or participates in shipping, logistics, delivery, fulfillment, courier, warehouse, transportation, or related delivery services connected to the Platform.

A third-party carrier, such as a postal service, courier, freight provider, or commercial logistics company, may be treated separately from a Delivery Partner depending on the applicable agreement, integration, and service model.

4.6 Service Provider

“Service Provider” means a User, contractor, outsourcing partner, vendor, consultant, agency, business process provider, technology provider, support provider, fulfillment provider, or other third party that provides services to MRNMarket, to Users, or through the Platform.

Where the term “Service Provider” is used in a privacy or data protection context, it may have the meaning given under applicable privacy laws.

5. Marketplace Role of MRNMarket

Unless a Product or Service is expressly identified as sold directly by MRNMarket Official Store, MRNMarket operates as a marketplace technology platform.

Except where expressly stated otherwise, MRNMarket is not:

  1. the Seller;
  2. the Buyer;
  3. the manufacturer;
  4. the supplier;
  5. the warehouse operator;
  6. the carrier;
  7. the delivery company;
  8. the importer of record;
  9. the exporter of record;
  10. the customs broker;
  11. the Merchant of Record;
  12. the escrow provider;
  13. a bank;
  14. a money transmitter;
  15. a financial institution;
  16. a payment processor;
  17. a tax adviser;
  18. a legal adviser; or
  19. a party to the underlying sale contract between Buyer and Seller.

MRNMarket may provide marketplace infrastructure, payment integrations, communication tools, dispute tools, listing tools, support tools, verification tools, compliance tools, and platform-level administrative support.

Providing these tools does not make MRNMarket responsible for Seller Products, Buyer conduct, delivery performance, customs clearance, seller warranties, Product compliance, tax obligations, user-to-user transaction outcomes, third-party service performance, Payment Processor outcomes, carrier performance, bank decisions, card network decisions, digital wallet decisions, or other third-party actions, except where required by Applicable Law or where MRNMarket is expressly identified as the Merchant of Record.

6. MRNMarket Official Store

“MRNMarket Official Store” means a store, listing, Product, or Service expressly identified by MRNMarket as sold directly by MRNMarket or by an official MRNMarket-operated account.

When a Product or Service is sold through MRNMarket Official Store:

  1. MRNMarket may act as the Seller;
  2. MRNMarket may act as the Merchant of Record;
  3. MRNMarket may be responsible for applicable direct seller obligations; and
  4. the applicable terms, refund rules, warranties, and policies for MRNMarket Official Store transactions will apply.

A Listing is not sold by MRNMarket merely because it appears on the Platform. It must be clearly identified as sold by MRNMarket Official Store or an official MRNMarket-operated account.

7. Merchant of Record

“Merchant of Record” means the legal entity responsible for processing or recording a Transaction as seller of record, issuing or supporting transaction records where applicable, handling applicable refunds, and satisfying related transaction obligations.

For most Transactions involving independent Sellers or Service Providers:

  1. the Seller or Service Provider acts as Merchant of Record;
  2. the Buyer contracts directly with the Seller or Service Provider;
  3. the Seller or Service Provider is responsible for Product quality, fulfillment, refunds, warranties, returns, taxes, Product compliance, and legal obligations; and
  4. MRNMarket acts as a marketplace technology provider.

MRNMarket acts as Merchant of Record only where a Transaction is expressly identified as sold by MRNMarket Official Store or another official MRNMarket-operated account.

8. Products, Services, Listings, and Orders

8.1 Product

“Product” means any physical item, digital item, good, merchandise, supply, equipment, material, or other item listed, offered, sold, purchased, delivered, or promoted through the Platform.

8.2 Service

“Service” means any service, task, professional service, outsourcing service, delivery service, digital service, support service, or other non-product offering listed, offered, sold, purchased, delivered, or promoted through the Platform.

8.3 Listing

“Listing” means any product page, service page, offer, advertisement, product description, title, image, price, category, variation, specification, warranty statement, delivery statement, seller content, or other information submitted or displayed for sale, promotion, or transaction through the Platform.

8.4 Order

“Order” means a request, purchase, booking, transaction, or instruction submitted through the Platform to buy, sell, deliver, fulfill, return, refund, exchange, or otherwise process a Product or Service.

8.5 Transaction

“Transaction” means any purchase, sale, payment, refund, return, payout, settlement, chargeback, commission, delivery, or related marketplace activity conducted through or connected to the Platform.

9. Payments, Holds, Payouts, and Refunds

9.1 Payment Processor

“Payment Processor” means a licensed, authorized, approved, or third-party payment service provider that processes payment authorization, capture, settlement, refund, reversal, chargeback, payout, fraud review, payment hold, reserve, or related payment functions.

Payment Processors may include Stripe, PayPal, banks, card networks, digital wallets, or other approved payment service providers integrated with or connected to the Platform.

9.2 Payment Processing

Payments, refunds, chargebacks, holds, reversals, payouts, settlements, reserves, and related payment activities may be processed through licensed, authorized, or approved third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

MRNMarket does not:

  1. operate as a bank;
  2. custody customer funds;
  3. operate user bank accounts;
  4. provide money transmission services;
  5. provide banking services;
  6. provide financial advisory services;
  7. act as a licensed escrow provider;
  8. act as a payment processor unless expressly stated in writing;
  9. guarantee Payment Processor, bank, card network, digital wallet, or financial institution outcomes; or
  10. guarantee that any Transaction will be risk-free, dispute-free, error-free, or completed successfully.

9.3 Payment Review and Release

“Payment Review and Release” means MRNMarket’s platform-level process for supporting transaction review, delivery confirmation, refund review, payout review, dispute support, fraud review, compliance review, seller performance review, buyer conduct review, account verification, or payment release procedures through the Platform.

Where permitted by Applicable Law and Payment Processor rules, certain payments, refunds, payouts, settlements, or related amounts may be subject to temporary review, hold, delay, reserve, restriction, or release procedures.

Such procedures may be used for reasons including:

  1. delivery confirmation;
  2. fraud prevention;
  3. chargeback risk;
  4. dispute review;
  5. compliance review;
  6. sanctions screening;
  7. seller performance;
  8. buyer conduct;
  9. account verification;
  10. legal requirements;
  11. Payment Processor requirements; or
  12. platform risk management.

Payment Review and Release does not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.

9.4 Payment Hold

“Payment Hold” means a delay, reserve, restriction, review period, processor-controlled hold, platform-level review, or other limitation applied to a payment, refund, payout, settlement, or transaction amount.

A Payment Hold may be applied for reasons such as fraud prevention, chargeback risk, dispute review, compliance review, delivery confirmation, seller performance, buyer conduct, account verification, legal requirements, or Payment Processor rules.

A Payment Hold does not mean MRNMarket acts as a licensed escrow provider, custodian of funds, bank, money transmitter, payment processor, financial institution, or financial adviser.

9.5 Payout

“Payout” means a payment, settlement, commission, transfer, or disbursement to a Seller, Affiliate, Delivery Partner, Service Provider, or other eligible User through or in connection with the Platform, subject to Payment Processor rules, MRNMarket policies, applicable fees, chargebacks, refunds, reserves, offsets, compliance review, and Applicable Law.

9.6 Refund

“Refund” means a full or partial reversal, credit, repayment, adjustment, or return of amounts paid in connection with an Order or Transaction, subject to applicable policies, seller responsibility, Payment Processor rules, evidence review, return requirements, and Applicable Law.

9.7 Return

“Return” means the process by which a Buyer sends a Product back to a Seller, MRNMarket Official Store, or designated return address under the applicable return policy, seller policy, or legal requirement.

9.8 Chargeback

“Chargeback” means a payment dispute, card dispute, reversal request, bank claim, payment processor claim, or similar process initiated by a Buyer or payment account holder through a bank, card network, digital wallet, or Payment Processor.

10. User Content and Platform Content

10.1 User Content

“User Content” means any content, information, data, text, image, video, audio, review, rating, comment, message, listing, product description, logo, trademark, file, document, promotional material, affiliate material, or other material submitted, uploaded, posted, transmitted, displayed, or made available by a User through the Platform.

10.2 Platform Content

“Platform Content” means any software, design, layout, interface, graphics, text, logos, trademarks, service marks, icons, images, data, content, documentation, databases, systems, tools, code, and other materials owned, controlled, licensed, or made available by MRNMarket.

10.3 Intellectual Property

“Intellectual Property” means copyrights, trademarks, service marks, trade names, logos, patents, designs, trade secrets, domain names, database rights, moral rights, publicity rights, and other intellectual property or proprietary rights recognized under Applicable Law.

11. Prohibited Products and Restricted Activity

11.1 Prohibited Products

“Prohibited Products” means products, services, listings, content, or activities that are illegal, unsafe, counterfeit, infringing, restricted, regulated without authorization, fraudulent, deceptive, sanctioned, harmful, or otherwise prohibited under MRNMarket policies or Applicable Law.

Prohibited Products may include items listed in the MRNMarket Prohibited Products Policy, Seller Agreement, Listing Policy, Acceptable Use Policy, or other applicable policy.

11.2 Restricted Products

“Restricted Products” means Products or Services that may be sold only if the Seller satisfies applicable legal, licensing, documentation, product safety, age verification, category approval, shipping, customs, or MRNMarket approval requirements.

11.3 Restricted Activity

“Restricted Activity” means conduct that is limited, prohibited, reviewable, or subject to enforcement under MRNMarket policies, including fraud, abuse, scraping, spam, circumvention, off-platform payments, misleading listings, counterfeit activity, payment abuse, harassment, privacy misuse, security interference, sanctions violations, or other prohibited conduct.

12. Verification, KYC, AML, and Sanctions

12.1 Verification

“Verification” means identity, business, tax, payment, location, ownership, compliance, risk, or document review conducted by MRNMarket or third-party providers.

Verification does not guarantee user performance, product quality, delivery success, transaction outcome, legal compliance, or absence of fraud.

12.2 KYC

“KYC” means “Know Your Customer” or similar identity verification procedures used to verify a person’s identity, age, location, account details, risk profile, or eligibility.

12.3 KYB

“KYB” means “Know Your Business” or similar business verification procedures used to verify a business, legal entity, beneficial owner, representative, tax status, registration, or authority.

12.4 AML

“AML” means anti-money laundering laws, regulations, rules, procedures, and monitoring related to detecting or preventing money laundering, terrorist financing, fraud, sanctions evasion, and related financial crimes.

12.5 Sanctions

“Sanctions” means trade, economic, financial, export, import, anti-terrorism, anti-boycott, or restricted-party laws, regulations, programs, or lists administered by governmental or regulatory authorities, including those applicable to restricted persons, countries, territories, goods, services, transactions, or activities.

13. Disputes and Platform-Level Decisions

13.1 Dispute

“Dispute” means any disagreement, claim, complaint, chargeback, refund issue, return issue, delivery issue, payout issue, commission issue, listing issue, account issue, policy issue, or other matter arising from or relating to Platform use, Transactions, Orders, Users, or MRNMarket policies.

13.2 Mediation

“Mediation” means MRNMarket’s internal platform-level review process for assisting with certain disputes between Users or relating to Platform activity.

MRNMarket Mediation is not a court proceeding, arbitration, legal judgment, or binding legal determination of liability.

13.3 Arbitration

“Arbitration” means a legally binding dispute resolution process conducted by an independent neutral arbitrator under the applicable arbitration rules and MRNMarket dispute terms.

13.4 Platform-Level Decision

“Platform-Level Decision” means an administrative decision made by MRNMarket for marketplace operations, account management, seller performance, buyer support, affiliate enforcement, payout administration, refund support, fraud prevention, compliance, or Platform integrity.

A Platform-Level Decision is not a court judgment, arbitral award, or legal determination of liability.

14. Accounts, Access, and Enforcement

14.1 Account

“Account” means a registered or guest profile, login, dashboard, store, affiliate account, seller account, buyer account, delivery partner account, service provider account, or other access credential used to access or interact with the Platform.

14.2 Account Restriction

“Account Restriction” means any limitation, hold, review, suspension, delay, feature restriction, payout restriction, listing restriction, communication restriction, transaction restriction, or other limitation applied to an Account or User.

14.3 Account Suspension

“Account Suspension” means a temporary or indefinite restriction of account access, activity, payout eligibility, listing visibility, transaction ability, communication ability, or other Platform functionality.

14.4 Account Termination

“Account Termination” means closure, removal, disabling, or permanent restriction of an Account or User’s access to all or part of the Platform.

14.5 Enforcement Action

“Enforcement Action” means any action taken by MRNMarket to protect Users, comply with law, enforce policies, prevent fraud, reduce risk, protect the Platform, or address misconduct.

Enforcement Actions may include warnings, content removal, listing removal, refund instructions, payout holds through Payment Processors, account restrictions, account suspension, account termination, commission reversal, reporting to authorities, or other measures permitted by Applicable Law and MRNMarket policies.

15. Privacy, Data, and Confidentiality

15.1 Personal Data / Personal Information

“Personal Data” or “Personal Information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked to an identifiable person, household, account, or device, as defined under applicable privacy laws.

15.2 Confidential Information

“Confidential Information” means nonpublic information relating to MRNMarket, Users, business operations, technology, pricing, transactions, accounts, security, data, trade secrets, commercial information, or other information that should reasonably be understood to be confidential.

15.3 Data Processing

“Data Processing” means any operation performed on Personal Data, including collection, use, storage, disclosure, transfer, deletion, access, sharing, analysis, or protection.

15.4 Data Processor / Service Provider

“Data Processor” or “Service Provider,” when used in a privacy or data protection context, means a person or entity that processes Personal Data on behalf of another party under applicable privacy laws.

16. Applicable Law and Legal Rights

16.1 Applicable Law

“Applicable Law” means any law, statute, regulation, rule, ordinance, order, directive, court decision, regulatory guidance, payment processor rule, card network rule, sanctions rule, tax rule, consumer protection law, privacy law, product safety law, customs law, export/import law, arbitration law, or other legal requirement that applies to MRNMarket, the Platform, a User, a Transaction, a Product, Service, or activity.

16.2 Consumer Rights

“Consumer Rights” means any mandatory rights, protections, remedies, warranties, cancellation rights, refund rights, repair rights, replacement rights, statutory guarantees, privacy rights, payment dispute rights, or other protections that cannot be waived under Applicable Law.

Nothing in any MRNMarket policy limits Consumer Rights that cannot legally be waived.

17. Policies and Legal Documents

“Policies” means MRNMarket’s legal documents, terms, agreements, rules, notices, guidelines, standards, FAQs, help pages, support articles, educational materials, and policies published, referenced, or incorporated by MRNMarket.

Policies may include:

  1. Terms & Conditions;
  2. Privacy Policy;
  3. Cookie & Tracking Policy;
  4. Acceptable Use Policy;
  5. KYC & AML Policy;
  6. Dispute Resolution & Arbitration Policy;
  7. Platform Rules & Governance Policy;
  8. Buyer Agreement;
  9. Buyer Terms & Conditions;
  10. Buyer Protection Policy;
  11. Delivery Confirmation Policy;
  12. Payment Hold & Release Policy;
  13. Payment Review and Release Policy;
  14. Shipping & Delivery Policy;
  15. Refund & Return Policy;
  16. Seller Agreement;
  17. Seller Verification Policy;
  18. Listing Policy;
  19. Prohibited Products Policy;
  20. Communication Policy;
  21. Payment & Payout Policy;

18. Policy Hierarchy

If there is a conflict between MRNMarket legal documents, the following order generally applies unless a document expressly states otherwise or Applicable Law requires a different result:

  1. Applicable Law and non-waivable Consumer Rights;
  2. transaction-specific terms expressly disclosed at checkout, registration, onboarding, or order placement;
  3. MRNMarket Terms & Conditions;
  4. specific user agreements, such as Seller Agreement, Buyer Agreement, Affiliate Agreement, Delivery Partner Agreement, or Service Provider Agreement;
  5. specific topic policies, such as Refund & Return Policy, Payment & Payout Policy, Payment Review and Release Policy, Prohibited Products Policy, KYC & AML Policy, or Dispute Resolution & Arbitration Policy;
  6. this Definitions & Interpretation Policy;
  7. FAQs, help pages, support articles, or educational materials.

FAQs, help pages, support articles, and educational materials are provided for convenience and explanation. If they conflict with the controlling legal policy, the controlling legal policy prevails.

19. Interpretation Rules

Unless the context clearly requires otherwise:

  1. singular words include the plural, and plural words include the singular;
  2. “including” means “including without limitation”;
  3. “or” is not exclusive unless stated otherwise;
  4. headings are for convenience only and do not affect interpretation;
  5. examples are illustrative and do not limit broader language;
  6. references to “days” mean calendar days unless stated as business days;
  7. references to “business days” exclude Saturdays, Sundays, and U.S. federal holidays;
  8. references to “written” or “in writing” include electronic communications where permitted by law;
  9. references to “law” include statutes, regulations, rules, regulatory guidance, and legally binding orders;
  10. references to “MRNMarket policies” include updates, replacements, supplemental policies, and incorporated documents;
  11. “may” means discretionary authority;
  12. “must” or “shall” means a requirement;
  13. “reasonable” means reasonable under the circumstances as determined in good faith;
  14. “where permitted by law” means subject to Applicable Law and non-waivable rights; and
  15. “subject to Applicable Law” means that mandatory legal rights and obligations control where they cannot be waived.

20. Electronic Communications and Notices

Unless another policy states otherwise, Users consent to receive notices, communications, disclosures, agreements, policy updates, support messages, account messages, transaction messages, and legal communications electronically.

Electronic communications may be provided by:

  1. email;
  2. Platform notice;
  3. account dashboard;
  4. support message;
  5. website posting;
  6. SMS or messaging tool where enabled;
  7. push notification where enabled; or
  8. other electronic means permitted by law.

Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by Applicable Law.

Users are responsible for keeping their contact information accurate and current.

21. Governing Law and Dispute Framework

Unless another MRNMarket policy states otherwise, MRNMarket policies are governed by the laws of the State of Montana, United States, without regard to conflict of law rules, and without limiting mandatory rights under Applicable Law.

Covered disputes may be subject to the MRNMarket Dispute Resolution & Arbitration Policy, including informal resolution, platform-level mediation, binding arbitration, class action waiver, small claims exceptions, and urgent court relief exceptions.

Arbitration venue is generally Missoula, Montana, United States, unless Applicable Law requires otherwise.

22. No Waiver of Mandatory Rights; Severability

Nothing in this Policy is intended to exclude, restrict, limit, waive, or modify any rights, remedies, warranties, obligations, or protections that cannot be excluded, restricted, limited, waived, or modified under Applicable Law.

If any provision of this Policy is found invalid, unlawful, or unenforceable, that provision will be interpreted, modified, or limited to the minimum extent necessary to make it valid, lawful, and enforceable. The remaining provisions will continue to apply to the maximum extent permitted by law.

24. Updates to This Policy

MRNMarket may update this Definitions & Interpretation Policy from time to time to maintain consistency with the Platform, Applicable Law, business operations, Payment Processor requirements, marketplace practices, risk controls, operational needs, or other MRNMarket policies.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued use of the Platform after updates are published means the User acknowledges the updated Policy.

Where required by law, MRNMarket may provide additional notice or request consent for material changes.
